    By-Laws Salem Youth Football & Cheering Article I – Name This corporation shall be known as Salem Youth Football & Cheering, hereinafter referred to as the “corporation.” Article II – Purposes The stated purposes of the corporation should be educational in nature, to implant firmly in the youth of the community the ideals of physical conditioning, good sportsmanship, honesty, loyalty, courage and respect for authority, so that they may become better adjusted, stronger and happier children, and will grow to be decent, healthy and trustworthy adults. To achieve these purposes, the corporation will provide a supervised program of conditioning, training, and competitive football games. All members shall be guided by the principle that exceptional athletic shill, and wining of games is only a secondary objective, and that their leadership should at all times reflect the above stated purposes. Article III – Membership Qualification – Any parent or legal guardian of a child registered with any SYF&C team, who is current on all registration fees with all equipment returned, shall be a member, any member behind on registration fees will not be allowed to vote or speak at any meetings. Additionally, any adult volunteer may apply for membership with approval by a majority of the board of directors. Memberships shall be deemed to be continued in effect from year to year, until a player is no longer associated with SYFC, unless terminated by resignation, or action of the Board of Directors, or their delegated committee. Player Members – Any youth eligible by League requirements in August of the year may, upon applicable and execution of as “Authorization and Waiver” on the corporation’s standard form by both parents or legal guardian, become a Player Member, subject to the rules and regulation of the Board of Directors pertaining to the care of loaned equipment, sportsmanlike conduct, and participation. Termination – Membership may be terminated by resignation or by a majority vote of the Board of Directors. Article IV – Meetings The annual meeting of the Members of the corporation shall be held during the month of January in each year. Every two years the annual meeting will be held for the purpose of electing the President, Secretary, Treasurer, Vice President and Directors. At every annual meeting the board shall furnish to its members reports of funds and progress; and for the transaction of such other business as may properly come before the meeting. Quorum – The presence in person of two thirds of the Board of Directors shall be necessary to constitute a quorum at the annual meeting. Notice will be published in the Community Newspaper of record. Only Regular Members shall be entitled to vote at the annual meeting of the corporation. There will also be a meeting held ever month on the second Wednesday of the month. Article V – Board of Directors The Board of Directors shall consist of nine elected Directors which include the President, Secretary, Treasurer and Vice President. Every member of the Board of Directors will be elected to a term of two years. The management of the property and affairs of the corporation shall be vested in the Board of Directors. The Directors shall, upon election, enter upon the performance of their duties effective February 1, and shall continue until January 31 of the second year. Quorum – A quorum shall consist of five members of the Board of Directors except for the purpose of replacement of Directors who may have resigned, deceased, or otherwise become incapacitated. Vacancy – If any vacancy on the Board of Directors occurs, it may be filled by majority vote of the remaining Board of Directors. The person elected will finish out the term of the person they took the place of. Regular meetings of the Board of Directors shall be held immediately following the annual election, and on such days thereafter as shall be determined by the Board. The President or the Secretary may issue a call for a special meeting of the Board. The Notice of such meeting shall be given by the President or the Secretary to each Director or by notification to the Membership at least three days in advance. The Board of Directors may adopt such rules and regulations for the conduct of its meetings, and the management of the corporation, as it may deem proper. The Board of Directors shall have the power by a majority vote of those present at any board meeting to discipline, suspend or remove any Director, officer, or member with 2/3 majority. The Board of Directors shall receive at the annual meeting of the Members of the corporation a report from the Treasurer showing the amount of monies applied, appropriated, or expended during the year. A report shall be filed and entered in the minutes of the annual meeting. The Secretary, at the annual meeting of the Members of the corporation, shall report the names and places of residence of the persons who have been admitted to membership in the corporation during the year. A report shall be filed and entered in the minutes of the annual meeting. Article VI – Officers The President shall be elected for a term of two years. The president will be responsible for conducting the affairs of the corporation, and for executing the policies established by the Board of Directors, The President shall present a report of the condition of the Corporation at the Annual Meeting, and, at such other times as the President or the Board of Directors shall deem appropriate. The President shall communicate to the Board of Directors such matters, and make such suggestions as may, in the President’s opinion, tend to promote the welfare of the corporation. The President shall examine the application and supporting proof-of-age document of every player candidate, and certify to their residence and age eligibility before the player may be accepted. The President may sign checks for disbursement of corporation funds. The President may appoint such other officers and agents as it may deem necessary or desirable, and may prescribe the powers and duties of each, and may fill any vacancy which may occur in any office so appointed. Vice President – The Vice President shall be elected for a term of two years The Vice President shall be responsible for conducting the affairs of the football program at the request and discretion of the President . The Secretary shall be elected for a term of two years. The secretary shall be responsible for recording the activities of the corporation, and maintaining appropriate files or necessary records. The Secretary shall maintain a list of Board of Directors and Members and give notice of all meetings of the corporation, or the Board of Directors; keep the minutes of the meetings of the Board of Directors and of the Members and cause them to be recorded in a book (computer) kept for that purpose; conduct such correspondence such as yearly registration forms and roster, member names, addresses and phone numbers for use of mailings and such but not limited to as may be required. The Treasurer shall receive all monies and securities, and deposit same in a depository approved by the Board of Directors. ; and provide for compliance with reporting requirements of the Commonwealth of Massachusetts. The Treasurer may act as signatory of checks for disbursement of corporation funds. Any check in the excess of $5,000 will require the approval of the President. The Treasurer shall keep records for the receipt and disbursement of all monies and securities of the League, approve payment from allotted funds, and draw checks therefore, after finding them to be in according with the By-Laws of the corporation and the requirement of section 501c(3) Internal Revenue Code of 1954. Provide for compliance with reporting requirements of the Commonwealth of Massachusetts. Provide the corporation with a report showing the amount of monies applied, appropriated, or expended during the year to date and annually. A report shall be filed and entered in the minutes of all meetings including the year end report at the annual meeting. At whatever time immediately following the close of the calendar year the treasurer will have all appropriate financial and tax returns completed. Article VII – Coaches Head Coaches shall be appointed by the majority of the Board of Directors before the league registration date but no later than the June board meeting and shall be responsible for their teams and for their actions only during all organized gatherings of said teams. The Head Coach candidates shall apply for their position in writing to the President of the Board by the date named at the Presidents discretion. All candidates including incumbent coaches must apply in that time frame. The Head Coach candidate should include a brief biography that can be shared with the entire board indicating his experience and team applied for. The Head Coaches shall be voted into their positions by a majority vote of the Board of Directors on an annual basis and may be removed for cause by a majority approval of the Board of Directors. The Board will review every candidate’s qualifications annually including references and determine the most appropriate person for the position. Any exception shall be subject to approval by a majority vote of the Board of Directors. The Head Coach will be responsible for recommending all of the teams’ assistant coaches, to the Board of Directors for approval. The names and qualifications of all proposed assistant coaches shall be submitted to the Board of Directors, by the June meeting and voted on at the July meeting any candidate for assistant coach must receive approval of a majority of the board members. Any exception to be voted on by the Board. Article VIII – Finance and Accounting The Board of Directors shall decide all matters pertaining to the finances of the corporation, and it shall place all income in the treasury. The Board of Directors shall not permit the contributions of funds to individual teams, but shall solicit same for the common treasury of the corporation. The Board of Directors shall not permit the solicitation of funds in the name of Salem Youth Football & Cheering, Inc., unless all funds so raised are placed in the treasury. The Board of Directors shall not permit the disbursement of corporation funds for purposes other than the conduct of football and cheering activities, and then only within the requirements of section 501c (3) of the Internal Revenue Code of 1954. Article IX – Criminal Offenders Record Information All Board members, coaches, and active game day volunteers at the discretion of the Board will be required to complete the Commonwealth of Massachusetts Criminal Record Information Request (CORI) By July 1 of the calendar year they wish to participate in. The CORI’s will be run by a board designee subject to the requirements of the Massachusetts general laws. All CORI Results will be kept confidential. A disqualifying result will be brought to the attention of the applicant by the board designee and they will be offered an opportunity to resign without referral to the Board. If the applicant wishes to appeal their disqualification they may do so only at a special meeting of the Board to be held in close session. The applicant must agree in writing to share their CORI results with the entire Board as a prerequisite to the appeal process Article IX – Volunteer Requirements All Board members, coaches, and active game day volunteers must be members in good standing of the SYF&C program. In addition they must be of strong moral character, Any person found on the CORI result to have been convicted of a misdemeanor within the preceding five calendar years or a felony within the past ten calendar years would be precluded from active participation. In addition anyone who has a conviction requiring registration on the Sex Offenders registry of any state shall be ineligible to be an active participant regardless of the age of the conviction. Article IX – Committee’s The President of the Board may establish and appoint at his discretion committees of board members and regular membership at any point to further the goals and objectives of the Corporation Article IX – Amendments The By-Laws of the corporation may be amended, repealed, or altered in whole or in part by a majority vote at any annual (supplemental) meeting of the Members, provided notice of a meeting and the proposed changes are given by notification to the Regular Membership.

    2009 Season

    Dear Parent/legal Guardian,

    Below are some important issues that need to be agreed to before your child can play Football/Cheer this season.

    1) No parent is allowed on the field during practices or games there will be no exceptions only Coaches, players, and Board Members are allowed on the field with the children.
    2) The use of cigarettes or chewing tobacco is prohibited at all SYF&C events.
    3) All Coaches are volunteers and work hard at what they do. To lessen confusion and out of respect for their position, please allow your child’s coach to be the only one coaching players on the field.
    4) Encourage Discipline by having your child arrive on time for practices and games.
    5) Belonging to a team requires commitment. Parents can help children understand this through regular attendance and preparation.
    6) Remember that your child learns more from your actions than your words. Practice good sportsmanship by being respectful to players, parents, coaches on both teams.
    7) Please respect the officials and their calls. It’s OK to disagree, but inappropriate to disparage.
    8) Please refrain from Loud or Rude Behavior.
    9) As a parent, you understand the daily pressures your child faces. We believe that football/cheer should be an outlet for fun. Encourage your child and allow them to have a good time.
    10) Whenever possible, volunteer. This shows participants the value of being a team player. At every home game we need parents to help out. Please we can’t do this alone we need more Parents to get involved and help.

    The first violation of these rules will result in the parent being asked to leave for that game or practice. The second violation will result in the parent being asked to leave for good. Any more violations by the same parent the child will be removed from the program. Any FOUL language towards any Coach or Board Member will be cause for removal from the program.
