2009 Bylaws
 
 

ARTICLE I - NAME

 

 

Section 1

The name of this organization shall be known as Clovis North Girls Softball League, henceforth referred to as (CNGSL). 

 

 

Section 2

The board of directors of the CNGSL and their all star teams (The Clovis Bullets) are subject to Clovis Unified School District rules and regulations governing the recreational league program, and are an affiliated member of The Amateur Softball Association (A.S.A.).  The A.S.A. is recognized by the United States Olympic Committee and the International Softball Federation as the governing body of Amateur Softball in the United States.  The Constitution and By-Laws of A.S.A. are adopted by CNGSL and are incorporated herein by reference.  CNGSL shall oversee all Clovis Bullet “B” travel team programs at all levels and ages operating under the CNGSL structure.   CNGLSL operates under regional jurisdiction of the Central California A.S.A. and solely operates as a non profit, recreational organization. 

Section 3

The Clovis Bullets (CNGSL All Stars) may have the following divisions:

 

Under 10                 as defined by ASA guidelines
Under 12                 as defined by ASA guidelines
Under 14                 as defined by ASA guidelines

Under 16                       as defined by ASA guidelines

 

 

ARTICLE II - BOUNDARIES

 

 

Section 1

The League Territory shall include all cities and towns located within the Boundaries of Buchanan High, Clovis North High School and Clovis West High School, unless otherwise restricted or ammended by other governing bodies related to this league.
 

a)       The remaining areas within the Clovis Unified School District, Clovis High and Clovis East High School, are jurisdicted by the boundries of the Clovis South Girls Softball League, henceforth referred to as (CSGSL).  The Central Valley Intensity is the All Star team for the CSGSL and is not jurisdicted by the CNGSL.

                                  

 

ARTICLE III - OBJECTIVES

 

 

Section 1

a)       Foster, develop, promote and regulate amateur softball “B” travel teams/ programs  for the Clovis Bullets for all persons under the age of 18, regardless of race, color, religion, sex, national origin or ancestry.

b)       Provide the Clovis Bullets teams with proper safeguards in accordance with the Spirit of True Sportsmanship.

c)       Encourage and promote Clovis Bullets teams and programs at all age levels and qualified coaches, umpires, and management to advance the cause of amateur softball.

d)       Promote and conduct the Clovis Bullets games and tournaments.

e)       Serve as liaison between Clovis Unified School District Recreation Softball program and the Clovis Bullets in all aspects of its recreation program as needed.

 

 

ARTICLE IV – MEMBERSHIP

 

 

Section 1

Players: All girls with a league age of 5 through 16 years of age are eligible to participate in CNGSL activities, regardless of race, creed or color, providing the following requirements are met:

  1. Their legal residence is within the boundaries specified in Article II.
  2. They play in at least half of their recreational team’s league games.
  3. They abide by the rules of the Constitution and By-Laws of CNGSL.
  4. Players who reside in another league’s attendance boundary may request permission to participate in The Clovis Bullets activities, if their league does not form an All-Star team and all ASA requirements are met.

 

 

Section 2

General members are:

  1. CNGSL Board Members
  2. Parents of registered League players who reside within the CNGSL boundaries (See Article II)
  3. General members have voting privileges at the Annual General Meeting.

 

 

Section 3

Suspension or Termination: Membership may be terminated by resignation or by action of the CNGSL Executive Board.

  1. The CNGSL Executive Board, by a majority vote of a quorum, shall have the authority to discipline or terminate the membership of any member when the conduct of such person is considered detrimental to the best interests of the League.
  2. The Executive Board shall, in the case of a player member, give notice to the manager of the team of which the girl is a member. Said manager shall appear before the CNGSL Board of Directors, which shall have full power to suspend or revoke such girl's right to future participation. It is not necessary for the girl to be present.

ARTICLE V - DUES AND FEES

 

 

Section 1

Player fees may be fixed at such amounts as the CNGSL Executive Board shall determine prior to the beginning each season.

 

 

 

 

ARTICLE VI - GENERAL MEMBERSHIP MEETING

 

 

Section 1

The annual election meeting of the members of CNGSL shall be held as soon as practicable following the ASA Central Sections Annual Membership Meeting. The annual meeting shall be for the purpose of electing officers, receiving reports, and for the transaction of such other business as may properly come before the meeting The annual election meeting will be held no later than ninety (90) days after the end of the fall ball season.

 

 

Section 2

Special Meetings: Special meetings of the General Members may be called by the CNGSL President at the discretion of the Executive Board.

 

 

Section 3

General Membership Quorum: Those General Members present at a duly constituted meeting will constitute a quorum.

 

 

Section 4

Rules of Order: "Robert's Rules of Order" shall govern the proceedings of all meetings, except when it conflicts with the Constitution and By-Laws of the League

 

 

Section 5

CNGSL will adhere to the requirements of the Brown Act.

 

 

ARTICLE VII – EXECUTIVE BOARD

 

 

Section 1

Authority: All CNGSL authority shall be exercised by and under the CNGSL Executive Board. The business of The Clovis Bullets shall be controlled by the same.

 

 

Section 2

Membership: Membership of the CNGSL Executive Board shall include all elected officers.

 

 

Section 3

Nominations and Elections:

  1. Each year, not later than one month prior to the annual election meeting, the President shall appoint a committee of not less than three persons for the purpose of nominating CNGSL Board Members to serve in the ensuing year.
  2. Each year at the annual election meeting the nominations will be presented to the general membership, additional nominations will be received from the floor, and the officers will be elected. A majority vote of the members present will constitute a valid election.
  3. Newly elected officers will assume their positions as of February 1st for the new year. Term of office will end on January 31st.
  4. CNGSL Executive Board Members do not have to have a daughter playing in CNGSL and are not required to reside within CNGSL boundaries.

 

 

Section 4

Vacancies: If any vacancy occurs in the CNGSL Executive Board by death, resignation or otherwise, it may be filled by appointment and ratification by a majority vote of the remaining CNGSL Executive Board at any regular meeting or at any special meeting called for the purpose.

 

 

Section 5

Quorum: A majority of the CNGSL Executive Board.

 

 

Section 6

Fees and Compensation: No member of the CNGSL Executive Board shall receive any compensation for services rendered on behalf of the League in their role as a CNGSL Executive Board member .

 

 

ARTICLE VIII - OFFICERS AND DUTIES

 

 

Section 1

Officers: The officers of CNGSL Executive Board shall be as follows:

Section 2

Term of Office: All officers shall hold office for the period of time indicated next to the position named in Article VIII Section 1 or until their successors are duly elected or appointed in accordance with the Constitution and By-Laws of the CNGSL.

 

 

Section 3

The CNGSL Executive Board: May appoint such other officers or agents as it may deem necessary or desirable, and may prescribe the duties and responsibilities of each, and may fill any vacancy, which may occur in any office.

 

 

Section 4

President: Shall be the chief operating officer of CNGSL and, subject to the review of the CNGSL Executive Board, shall administer the activities of the League. The President shall:

  1. Supervise all activities of the CNGSL.
  2. Preside over all meetings of The CNGSL Executive Board.
  3. Have other duties as prescribed by the CNGSL Board in addition to the general and specific duties enumerated herein.

Section 5

Vice President:

 

  1. Shall be the CNGSL representative at Clovis Unified School District Co-Curricular department meetings.
  2. Serve as official liaison between other softball leagues that are administered by Clovis Unified Recreation Department.

 

 

 

Section 6

Directors Under 10, 12, 14, and 16:

  1. In absence of the President and Vice-President, the director of the eldest age group present shall serve as chief officer of the CNGSL.
  2. The directors shall have other duties as prescribed by The CNGSL Executive Board, which may include the following:

1)      Maintain all records pertaining to player members and team rosters in their respective divisions.

2)      Be the presiding officer at the registration and player selection meetings

3)      Prepare official team rosters and submit to each team head coach in their respective divisions.

4)      Shall serve on any Protest Board.

5)      Act as a committee chairperson.

 

 

Section 7

Secretary:

The Secretary shall have the following responsibilities:

  1. Give notice of meeting to members of The CNGSL Executive Board
  2. Keep and record minutes of meetings.
  3. Handle all correspondence to and from CNGSL and/or The Clovis Bullets.
  4. Will ensure availability of financial records.

 

 

Section 8

Treasurer:

The Treasurer shall have the following responsibilities:

  1. Be responsible for safekeeping of The CNGSL monies.
  2. Keep all financial records of CNGSL and the Clovis Bullets and submit to league Secretary.
  3. Maintain accurate budget requirements and expenditures and advise The CNGSL Executive Board of same.

 

 

Section 9

All officers shall have other responsibilities and duties as may be prescribed by The CNGSL Executive Board.

 

 

ARTICLE IX - OPERATING PROCEDURES

 

 

Section 1

The CNGSL Executive Board will hold a public meeting once a month to review the day to day operations of the CNGSL and The Clovis Bullets.  This meeting is open to all general members, but agenda items requiring action will only be voted on by the CNGSL Executive Board.

 

 

Section 2

The CNGSL Executive Board may establish operating procedures to facilitate the operation of CNGSL and The Clovis Bullets.  Operating procedures shall be documented in the minutes of the monthly public meetings.

 

 

Section 3

The Executive Board may meet at anytime they feel an issue must be dealt with prior to the monthly public meeting and that there are not established operating procedures to handle the issue.  Such meetings must have a minimum of five executive board members in attendance.

The Executive Board may create standing committees for many of the anticipated needs of the CNGSL and The Clovis Bullets.  Such Committees may be, but are not limited to, uniforms, tournaments, player development, coaching development.
 
The Exeutive Board have enlisted as an Operation Procedure the mandate that Board Members who miss three consecutive meetings be removed as members from their CNGSL Board positions
 
 

 

 

 

Section 4

The Executive Board may create standing committees for many of the anticipated needs of the CNGSL and The Clovis Bullets.  Such Committees may be, but are not limited to, uniforms, tournaments, player development, coaching development.
 

 

ARTICLE X – ALL STAR HEAD COACH, ASSISTANT COACHES and PLAYER SELECTION

 

 

Section 1

Head Coach Selection for The Clovis Bullets:

  1. Head Coaches must be approved by a majority vote of The CNGSL Executive Board.
  2. Head Coaches must meet All ASA requirements.
  3. Head Coaches must be:
1)      ACE Certified.  CNGSL Coaches must also advance through the ACE Certifcation in consecutive years currently defined as ACE 1 - 4.

2)      Have previous coaching experience.

3)      Be approved to coach in the Clovis Unified School District Recreational League Softball Program.

Section 2

Selection of Assistant Coaches:

 

  1. Assistant Coaches are recommended by the Head Coach and must be approved by a majority vote of The CNGSL Executive Board.
  2. Assistant Coaches must meet all ASA requirements:
  3. Assistant Coaches must be:

1)       ACE Certified. CNGSL Coaches must also advance through the ACE Certifcation in consecutive coaching years currently defined as ACE 1 - 4.

2)       Be approved to coach in the Clovis Unified School District Recreational League Softball Program.

 

Section 3

Selection of Players:

 

  1. All CNGSL  players that reside within the boundaries (see Article II) and have participated in at least half their recreational league team’s games are eligible to tryout for one of The Clovis Bullets teams.

 

  1. An open tryout(s) will be organized by the director in charge of each age division.

 

  1. Each head coach will have the authority to select their team without influence from any member of The Executive Board. 

 

  1. Head Coaches decisions are final.

 

In the case where a second or third team exists at an age group, the head coach of the first team will be allowed to select their entire team before the coach from the second team is allowed to contact players.

 

 

ARTICLE XI - AFFILlATION, SUPERVISION OF

 

 

Section 1

Affiliation CNGSL, is a self governed affiliate, supervised by the Clovis Unified School District’s Community Recreation Program.

 

 

ARTICLE XII -FINANCING AND ACCOUNTING

 

 

Section 1

The CNGSL Executive Board shall decide all matters pertaining to the finances of the League and shall place all income into a common League Treasury, directing the expenditure of same.

 

 

Section 2

The CNGSL Executive Board shall not permit the solicitation of funds in the name of CNGSL or The Clovis Bullets, unless all of the funds raised are placed into the League Treasury. All funds donated for a specific use, however, shall be utilized for that use only, provided that use exists. This accountability shall also pertain to funds raised for teams who will compete at a National Level competition.

 

 

Section 3

The CNGSL Executive Board shall not permit the disbursement of The Clovis Bullet’s  funds for other than the conduct of The Clovis Bullet’s activities, unless specified by the CNGSL Board of Directors.

 

 

Section 4

Upon dissolution of the CNGSL or The Clovis Bullets, and after all outstanding debts and claims have been satisfied, the members shall distribute the property of the League to such other organization or organizations herein, which are or may be entitled to exception under Section 501 (c) of the Internal Revenue Code or any future corresponding provision.

ARTICLE XIII – AMENDMENTS

 

This constitution and By-Laws may be amended, repealed or altered in whole or in part by majority vote of the General Members at any duly organized meeting of the General members, providing notice of the proposed change is included with the notice of Such meeting. Notification will be performed by mailings, newsletter, newspaper notices (sports or classified sections) or any combination thereof. Newspaper notices shall appear for a minimum of three days.
