    ARTICLES OF INCORPORATION OF THE JEFFERSON SPORT ASSOCIATION

    PREAMBLE: We, a group of citizens in the town of Jefferson, Maine, sharing a common interest in sports as a form of wholesome recreation, do hereby forma an organization to be know to all as the “JEFFERSON SPORTS ASSOCATION”, and hereby set forth the following Articles of Incorporations:

    ARTICLE I – Name of the Organization – JEFFERSON SPORTS ASSOCIATION

    ARTICLE II – Purpose – The Jefferson Sports Association was created because there exists within the Town of Jefferson, Maine a need for an organization to foster, promote and support an organized athletic program to be enjoyed by all citizens. The Jefferson Sports Association was further created because amateur athletics help the youths of our nation to develop strong minds and bodies and competitive sporting events develop character and are a source of wholesome recreation for the entire community. Therefore, the Jefferson Sports Association shall initiate sports throughout the seasons of the year; provide necessary and safe equipment; provide adequate coaching and supervision; and shall conduct necessary fund raising projects and charitable distribution to help achieve the purposes of the Association.

    ARTICLE III – Name and Mailing Address of Registered Agent – President, P.O. Box 264, Jefferson, Maine 04348

    ARTICLE IV – Membership – The membership of the Jefferson Sports Association shall be composed of citizens who have a sincere interest in amateur athletics and community projects, which provide recreation and enjoyment for the entire population of the Town. The members will also have a willingness to give moral and financial support to the organized activities of The Jefferson Sports Association. Annual membership dues of $15.00 paid in September cover the administrative costs (awards, printing, postage, refreshments) for winter, spring and summer sports for a family and provide the member with voting rights at association meetings. Those choosing not to become members will be responsible for the administrative costs of each season in which they enroll a child and will not have voting privileges.

    Baseball $xx.xx(sports fee) + waived

    Non-Member:
    Soccer $xx.xx (sport fee) + $15.00
    Basketball $xx.xx (sports fee)+ $15.00
    Baseball $xx.xx(sports fee) + $15.00

    NOTE: No youth or adult will be denied the right to participate in athletic programs sponsored by the Jefferson Sports Association due to lack of funds.

    ARTICLE V – Board of Directors – The Jefferson Sports Association shall be governed by a Board of Directors consisting of a maximum of eleven (11) individuals. The Directors shall be elected by the membership at the Annual Meeting. The Board consists of President, Vice-President, Secretary, Treasurer, Soccer Commissioner, Basketball Commissioner, Baseball Commissioner, Softball Commissioner, Member At Large #1, Member At Large #2, and Member At Large #3. The elections of the Board shall be staggered; one half of the Board including the Vice-President, Secretary, Soccer Commissioner, Baseball Commissioner, and Members-at-Large # 1 and #3 shall be elected to office on odd years, the remaining members of the Board shall be elected to office on even years. A Board member shall serve for two years. Any Board member absent from two (2) consecutive meetings, unless prior knowledge of the leave of absence was known, can be requested to resign their position, or a Board member who is absent for three (3) or more consecutive meetings, unless prior knowledge of the leave of absence was know, their term can be terminated at the next scheduled meeting by a vote of the Board of Directors. The member’s position will be filled by another member of the Association.

    NOTE: The term will end at the scheduled election year for that position being held with the exception of the Baseball Commission and Softball Commissioner whose term will end at the conclusion of their season.

    1. President: The duties of the President of said Association shall consist of but not limited to representing the Association to the community, and being responsible for the daily functioning of the Association. The President will cast the deciding vote in the event of a tie.

    2. Vice-President: The Vice-President of said Association shall assist the
    President in the performance of all day-to-day Association duties and preside
    over Association meetings and events in the absence of the President. The
    Vice-President shall also advise all Commissioners and serve as a bridge
    liaison between them.

    3. Secretary: The Secretary of the said Association shall have the responsibility
    of maintaining the official records of the Association, including agendas and the minutes of Association meetings and shall further have the overall responsibilities for the publicity and announcements which affect the membership of the Association.

    4. Treasurer: The Treasurer of said Association shall maintain accurate financial
    records and necessary checking and banking accounts, and prepare an annual financial report to be submitted at the annual meeting. This officer shall also be authorized to write checks and sign vouchers in the name of the Jefferson Sports Association. The Treasurer shall also provide necessary assistance to the Commissioners with the preparation of their individual budgets.

    NOTE: In the case of an absence in either the Secretary or Treasurer office (1) the office will remain vacant until filled by an elected member of the Association (2) The President shall appoint for a maximum of two (2) months a board member to fill either position, however the position of Treasurer must be filled by a member with check signing authorization.

    5. Soccer Commissioner: The Soccer Commissioner of said Association shall arrange and designate coaches and assistants to aid in the performance of all coaching duties and officials for all home games. The Soccer Commissioner shall attend all league meetings related to soccer and coordinate with the league president and other league coaches the scheduling of games. The Soccer Commissioner shall coordinate the scheduling of all practices with all soccer coaches and be responsible for created and submitting an annual budge for the soccer program to the Vice-President no later than November 1. It will be the responsibility of the Soccer Commissioner to hold a meeting for all new coaches prior to each program. Items to be covered are: a) introduction for new coaches, b) rules and regulations, c) coaches responsibilities, d) equipment inventory, issue and return, e) membership status, fee collection and release forms. The Soccer Commissioner shall be responsible for the purchasing of necessary equipment and uniforms, after having submitted a request and verification of need and cost to the Board of Directors of the Jefferson Sports Association for approval.

    The Soccer Commissioner shall prepare an annual report that summarizes the athletic activities of the Association and recommend ways to improve said activities. The Soccer Commissioner shall not be a coach, in any capacity, for soccer. This position is for organizational purposes only.

    6. Basketball Commissioner: The Basketball Commissioner of said Association shall arrange and designate coaches and assistants to aid in the performance of all coaching duties and officials for all home games. The Basketball Commissioner shall attend all league meetings related to basketball and coordinate with the league president and other league coaches the scheduling of games. The Basketball Commissioner shall coordinate the scheduling of all practices in the Jefferson Village School with the Jefferson Village School and basketball coaches and be responsible for created and submitting an annual budge for the basketball program to the Vice-President no later than April 1. It will be the responsibility of the Basketball Commissioner to hold a meeting for all new coaches prior to each program. Items to be covered are: a) introduction for new coaches, b) rules and regulations, c) coaches responsibilities, d) equipment inventory, issue and return, e) membership status, fee collection and release forms. The Basketball Commissioner shall be responsible for the purchasing of necessary equipment and uniforms, after having submitted a request and verification of need and cost to the Board of Directors of the Jefferson Sports Association for approval.

    The Basketball Commissioner shall prepare an annual report that summarizes the athletic activities of the Association and recommend ways to improve said activities. The Basketball Commissioner shall not be a coach, in any capacity, for basketball. This position is for organizational purposes only.


    7. Softball Commissioner: The Softball Commissioner of said Association shall arrange and designate coaches and assistants to aid in the performance of all coaching duties and officials for all home games. The Softball Commissioner shall attend all league meetings related to softball and coordinate with the league president and other league coaches the scheduling of games. The Softball Commissioner shall coordinate the scheduling of all practices with all softball coaches and be responsible for created and submitting an annual budge for the softball program to the Vice-President no later than November 1. It will be the responsibility of the Softball Commissioner to hold a meeting for all new coaches prior to each program. Items to be covered are: a) introduction for new coaches, b) rules and regulations, c) coaches responsibilities, d) equipment inventory, issue and return, e) membership status, fee collection and release forms.     8. Baseball Commissioner: The Baseball Commissioner of said Association shall arrange and designate coaches and assistants to aid in the performance of all coaching duties and officials for all home games. The Baseball Commissioner shall attend all Little League meetings and coordinate with the league president and other league coaches the scheduling of games. The Baseball Commissioner shall coordinate the scheduling of all practices with all baseball coaches and be responsible for created and submitting an annual budge for the baseball program to the Vice-President no later than November 1. It will be the responsibility of the Baseball Commissioner to hold a meeting for all new coaches prior to each program. Items to be covered are: a) introduction for new coaches, b) rules and regulations, c) coaches responsibilities, d) equipment inventory, issue and return, e) membership status, fee collection and release forms. The Baseball Commissioner shall be responsible for the purchasing of necessary equipment and uniforms, after having submitted a request and verification of need and cost to the Board of Directors of the Jefferson Sports Association for approval.

    The Baseball Commissioner shall prepare an annual report that summarizes the athletic activities of the Association and recommend ways to improve said activities. The Baseball Commissioner shall not be a coach, in any capacity, for baseball. This position is for organizational purposes only.

    9. Members-at-Large: The Members-at-Large of said Association are to ensure a quorum for all meetings are met and have full voting rights in all agenda items requiring a vote by the Board of Directors. They will assist other Board members as needed as prescribed by the President of said Association.

    ARTICLE VI – Meetings of the Association – The annual Meeting of the Jefferson Sports Association shall be held on the first Tuesday of June, notification of time and place will be announced at May’s monthly meeting. The Annual Meeting shall be called for the purpose of electing Board positions, to receive annual reports from its Board, and to organize the coming years’ events. Monthly meetings will be held throughout the year, held on the first Tuesday of each month. Any special meetings deemed necessary shall be called at any time by the President or four (4) other Board Members of the Association, with Board Members having to be notified by telephone and other members via public notice (i.e. bulletin boards, news media).

    The quorum for all meetings of the Association shall be six (6) members of the Board.

    ARTICLE VII – Election of the Board – The election of the Board of the Jefferson Sports Association shall be by nomination of candidates for each position of the Association – President, Vice-President, Secretary, Treasurer, Soccer Commissioner, Basketball Commissioner, Baseball Commissioner, Softball Commissioner, Member-at-Large #1, Member-at-Large #2, Member-at-Large #3 – with each position being elected by a majority vote of the members attending and voting at the Annual meeting.

    ARTICLE VIII – Amending Articles of Incorporation of the Jefferson Sports Association – All requests to amend the Articles of Incorporation of the Jefferson Sports Association must be submitted in writing to the Board of Directors of said Association. Any amendment to the Association Articles of Incorporation (or by-laws) must be ratified by a two-thirds (2/3) vote of a quorum of the Board of Directors. In all matters not covered by the Articles of Incorporation (or by-laws), the Jefferson Sports Association shall be governed by the Sturgis Standard Code of Parliamentary Procedure and Title 13-B M. R. S. A. (Maine Non-Profit Corporation Act.).

    ARTICLE IX – Restrictions Governing Distribution of Assets – No part of the net earnings of the corporation shall inure to the benefit of, or be distributed to its members, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Two otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal Income tax under section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by a corporation to which are deductible under section 1780 (c) (2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

    ARTICLE X – Dissolution – Upon the dissolution of the corporation, the Board of Directors shall, after paying or making provision for the payment, of all of the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by the Probate Court of the county in which the principal office of the organization is then located, exclusively for such purposed or to such organization or organizations as said Court shall determine which are organized and operated exclusively for such purposes.

    ARTICLE XI – Indemnification of Directors and Officers – The Association will indemnify the Directors for the costs of defending any lawsuits and damages awarded or settlement of said lawsuits arising from the performance of the lawful duties or functions of the Association.

    ARTICLE XII – Committees – Committees will be established by the President of said Association for the purpose of researching proposing or implementation of assigned tasks. Example of committees are: (1) By-laws, (2) Prizes, (3) Concession Stand, (4) Advertising, (5) Auditing, (6) Etc.
