Association Rules and Regulations


**These rules and regulations are subject to change without any notice**

ARTICLE I - GENERAL RULES AND REGULATIONS

SECTION I - GENERAL

Fundraiser- All players must participate in the association fundraiser. Parents will have the option of either selling in the fundraiser, or paying to KGSA an opt-out fee to replace what the park would have made in profit. The difference will be paid at registration.

Team Sponsorships - Each recreation team is responsible for a KGSA sponsor of $175 before opening day. Any team that does not fulfill the sponsorship requirement will have their season’s trophies withheld and will be barred from any End of Season tournament.
SECTION II - LATE REGISTERING PLAYERS
All players who register with Kennesaw Girls Softball after the skills test will be assigned to a team by the Board of Directors. Players will be assigned to teams with least amount of players; if teams have equal number of players, the draft numbers will be used.

SECTION III - PLAYING RULES
A team will be permitted to pick-up one to two players (only from a lower age group Adams park team)  if said team has only 8 or 9 players to have 10 players. If roster players show up, said roster player must enter the game. Any and all roster players in attendance must play before a pickup player will be allowed

All players are to be in the batting order with free substitutions.

If a player becomes sick or is hurt and cannot bat, no out will be declared since all players are in the batting order.

Any rule not covered by Kennesaw Girls Softball Association will be covered by ASA, GRPA, or NGFA, USSSA, ISA or GSA.

If umpires do not show up, a Board member is in charge and picks and approves an umpire. Both Head Coaches have to approve the Board Member’s umpire choice. If one (1) head coach does not approve, then the game will be rescheduled when an official umpire can be in attendance.

SECTION IV - PLAYER UNIFORMS
All players must be in full uniform to participate in Kennesaw Girls Softball Association. This includes jersey shirt, pants/shorts and socks with jersey tucked into pants/shorts. The Association will provide uniform jersey shirt.

All jerseys will have the name “Kennesaw” or “Kennesaw Girls Softball” printed on the front of the team jerseys.

Players can be furnished KGSA approved shorts or pants (when available) and may purchase the other as they desire. Pants and shorts may be mixed. Board of directors must approve shorts for all age groups.

Fast Pitch players may be allowed to wear the same uniform for in-park and out of park play in accordance with the KGSA guidelines governing proper attire.

SECTION V - EQUIPMENT
Double wall or multi wall bats may be used in the 8U through 19U age groups in intra-park play, and tournament play. 6U will not use double wall or multi wall bats in intra-park play.

All catchers, except 6U age group, will wear complete catchers equipment (this includes mask, helmet, throat guard, shin guards, and chest protector); they are also to wear a helmet with mask while warming up a fast pitch pitcher.

If a player drops out of the program, the team’s coach is responsible for retrieving any uniform or equipment the player may have that is the property of KGSA.

SECTION VI - TEAM SELECTION PROCESS
Teams will draft 100% each spring.  A returning head coach may freeze up to one assistant coach (and that assistant coach’s daughter for the spring season).  A total of 2 players (in addition to the head coach's daughter/s) may be frozen/protected for the fall season.  All other players will participate in the draft  Each coach will draft his/her daughter and protected players in the round according to her skill score (any protected player that does not participate in the skills test will be assigned the highest possible score, thus being assigned in the first round).  Teams will be drafted in accordance with the Draft Rules

 

Sisters will be placed on the same team by procedure of the draft, unless parents request to place sisters on separate teams.

Players may only elect to move up one age group.

All final decisions regarding league formations and player division will be determined by the Board of Directors on the basis of fairness, equity and competitiveness.

All new coaches will form teams in accordance with the following:

A. A Head Coach and up to one assistant coach will be assigned.
B. The assistant coach must be identified prior to the skills test and must be an approved coach.
C. Team selection will be in accordance with the DRAFT RULES.

Parents have the option to name one (1) Head Coach for which they will not allow their daughter to play. Their daughter must have played for the coach previously on any given regular season or All Star Season. This must be done in writing to a Board member prior to the draft via the Confidentiality form available on line. This should be done only after serious consideration.

Head Coaches and assistant coaches are approved on a one-season basis with no guarantee made for a team the following season.

No consideration will be given for transportation convenience or other requests when placing players on teams.

SECTION V- DRAFT PROCEDURE AND RULES

The Draft will be conducted as follows

A)All protected players will be assigned/picked to their respective team in the round according to her skill level.  If a protected player does not participate in the skills test, she will be assigned the highest possible points total, thus being assigned in the first round)

B) Once all protected players have been assigned, the team with the lowest cumulative point total shall pick first. Picking order will then proceed in a serpentine manner.  In the event of a tie in total points, a coin toss will be used to determine who picks next

C) Any player that does not attend the skills test will have her name placed in a hat and drawn to a team at random after all scored players have been drafted to a team.

D) Sisters must be picked as one selection. When requested by parent or guardian, sisters will be placed on separate teams.

E) All teams will be frozen at nine players until all other teams have nine players. This will be done again at ten players, 11 players, etc.
F) Trades must be approved by majority of coaches in that age division. All trades must be completed at the time of the draft.

 

After the draft has concluded, the following is in effect:
1. The Board of Directors will together agree on total players per team to close registration.
2. Players are assigned to teams after the draft for either leveling, due to late registration or a team losing a girl for various reasons. In the event that teams have equal number of players, team assignment will be in order of sequence. The sequence will be determined at the time of the draft by a random draw of numbers amongst the coaches.
3. No girl can be added to a team unless confirmed by the Player Rep and Secretary.

The Skills Test will be conducted as follows:
All players will be required to participate in the skills test and will be scored using a common scale in accordance with the following:
1. All girls are scored on a 40 point basis. Hitting, Catching, Throwing & Running @ 10 pts. each.
2. Skills test will be conducted by the head coaches in the age division, the player rep and one additional board member.
3. Scores for each player are determined by averaging with the highest and lowest score not used.
4. At the conclusion of the skills test, the coaches and the player rep will meet to review scores and agree on point values for each player.

ARTICLE II - TEAM MANAGERS, COACHES & ANY PERSON WATCHING A KGSA BALL GAME

SECTION I - FILLING POSITIONS
Any person wishing to coach or be an assistant coach in the Kennesaw Girls Softball Association shall do so in writing to the Board of Directors. Forms will be made available at all meetings/registration or through the Secretary.

Applicants for Head Coach must be at least 21 years of age and assistant coaches must be at least 18 years of age; must be able to travel as required by team schedule, must be familiar with the rules of girls softball and must be able to attend meetings and practices as required. It is mandatory that all head coaches be NYSCA / ASA certified.

It is mandatory for all Coaches & Asst. Coaches to be certified by NYSCA or ACE. The Head Coach’s certification shall be paid for by KGSA for the first year only. Certification is open to any parent or guardian interested in volunteering, provided they follow proper KGSA coaching application policies.

All new coaches, and any coach who has had a written complaint filed with the Board of Directors, shall be required to complete an interview with representatives of the board. The Board of Directors reserves the right to interview a coach at any time.

All coaches, Dugout mom/dad, team mom/dad or any person on the field with the players at any time must complete and pass background checks required by city of Kennesaw and K.G.S.A.  The City’s Volunteer Card must be worn by any adult participating in any game or practice.

SECTION II - COACHING STAFF
The coaching staff for each team shall consist of a head coach and maximum of 2 assistant coaches with the exception of the 6U & 8U age groups which may have 3 assistant coaches and one mentor. Mentors are individuals at least 15 years old and have been approved by the Board of Directors. The head coach and assistant coach(es) will be approved by a majority of the Board of Directors.

An approved coach may Head coach NO more than two teams in any one season.

No new assistant Coaches will be assigned until after the draft.

SECTION III - DUTIES OF COACHES
The head coach is responsible for the conduct of each player, parents and coaches of his team as governed by ASA/NYSCA Rules and KGSA Rules and Regulations.

**KGSA coaching staff shall abide by the following Code Of Ethics:

Will not use profanity
Will not use alcoholic beverages or illicit drugs in or near a competitive event involving participants or the Association
Will Not drink alcoholic beverages while transporting team
Will not use tobacco of any form when in the presence of team
Will place the emotional and physical well being of players ahead of desire to win
Will treat each player as an individual and remember the game is for the players
Will organize practices that are fun and challenging and safe for players
Will lead by example in demonstrating fair play and sportsmanship to players
Will be knowledgeable in the rules and teach these rules to the players

**Violation of these rules and regulations may result in immediate termination of all coaching responsibilities.

The coaches shall teach the fundamentals of softball in such a way that the children will obtain a thorough knowledge of the correct method of participation.

All coaches are required to attend KGSA or other approved training classes.

K.G.S.A. will reimburse all approved Coaches to attend N.Y.S.C.A. / ASA for the first year only. Coaches will be responsible for any and all certification fees after the 1st year.

Coaches, along with the KGSA Board Members, may organize pitching camps for the players prior to the beginning of the season of play.

The coaches shall channel all their requests for game equipment through KGSA’s Vice President.

If two of the three approved Coaches are present during a game, both must coach bases.

The coaching staff shall be responsible for the final selection of their players’ positions.

The coaches should ignore any comments that may be considered complaints unless the complaints or grievances are handled through prospective player Representatives. Complaints should be made in writing and submitted to player Representative within 24 hours from the time of alleged incident.

Coaches must stand 3-5 feet behind the players in the 8U age group.

SECTION IV - MANAGER SELECTION GUIDING PRINCIPLES
When approving potential candidates for the coaching staffs, the Board of Directors will consider the following qualifications:
Previous year as head coach of team to which candidate is applying.
Previous year as assistant coach of team to which candidate is applying.
Previous coaching experience in Kennesaw Girls Softball Association.
Previous coaching experience.
NYSCA/ACE certification.

SECTION V - DISCIPLINARY ACTION
A coach whose conduct is unbecoming or detrimental to the League by willfully disregarding or breaking these rules and regulations may be relieved of his coaching duties for the remainder of the season, by written notice from the majority of the Board of Directors. All written notices are to be presented by 2 or more Board Members.

Disciplinary actions against a coach, assistant coach, team parent, or player will be reviewed by members of the board and a vote will be taken on how to handle each infraction by the board that a coach, assistant coach, team parent,, or player does that is not becoming of someone representing KGSA.

ARTICLE III - POST-SEASON PLAY

SECTION I - ALL-STARS
Only regular season approved coaches can coach All-Star games or tournament games and must be certified by ASA/NYSCA. The All-Star Coaches will be voted upon by the head coaches of the respective age groups, subject to final Executive Board approval. In the event of a tie in the age group the All-Star/Tournament Coordinator will be the tie-breaker.

A Clinic will be held for potential All Star players each year prior to the beginning of All Star tournaments.

All head coaches in each age group will access the players and can vote on up to ten (10) players that he/she feels would make a true asset to the All_Star Team.

Each player that receives a unanimous vote by all head coaches will automatically be placed on the team. Each girl receiving 2/3 votes of the respective coaches will be considered for the team. All open positions will be filled at the all-star team manager and the coaching staff’s discretion, not to exceed a total of 15 girls. The All-Star team may not consist of 5 or more girls from the same preceding spring team without the approval of the board of directors.

In the event of a tie on All-Star Team voting, it is up to the Coach & his/her staff to break tie. All_Star Roster will be posted.

All players chosen to play on All-Star Teams must pay one hundred fifty dollars ($150.00) to help off-set tournament and uniform costs.

As soon as the All-Star coaches are determined and the players chosen, he/she is given the option to initiate assembly of the All-Star team - as long as it does not interfere with the regular season of play.

An "A" and "B" All-Star Team may be formed when there are at least the following number of players registered in each age group:

8U - 100       14U - 50
10U - 100      16U - 50
12U - 100      18U - 50

The All-Star/Tournament Coordinator and the Executive Board will make the final determination as to the need of a “B” team. No B-team in any age group can be considered until after the A-team is complete. No player can switch from A or B all-star teams.
All-Star Players for these teams shall be selected as follows: Once the A Team Coach has been determined, a clinic will be held for all potential All-Star players. All Head Coaches in each age group shall rank the potential All-Star players from their age group and the top 10 ranked players shall be placed on the A Team. The A Team Coach may then select up to 5 additional players for the A Team.

After the A Team has been finalized, a B Team coach shall be determined and the next 10 highest ranking players shall be placed on the B Team. The B Team Coach may then select up to 5 additional players from those remaining to finalize the B Team.

ARTICLE IV - AWARDS

SECTION I - BANNER CONTEST
KGSA will have a Banner Contest for each age group at the start of the Spring Season. Each player on the winning team receives a free hotdog and coke from the concession stand.

SECTION II - SPRING SEASON CHAMPION
First place will go to team with best overall record. If there is a tie between two (2) Kennesaw teams, the team with the best record between the two will take first place. If identical records, there will be a 1 game head to head play off.

In-Park Playing Rules

 

All players must be in full uniform, consisting of black pants or shorts, jersey and socks. Jersey must be tucked in at the start of the game.

A team must have 8 rostered players to start a game. If at any time prior to or during the game a team falls below 8 rostered players, the game will be forfeited. This does not apply to 6U.

All players must play 2 defensive innings per game. Failure to comply with this rule when a game goes the maximum amount of innings will result in an automatic forfeit.

There will be a 15 minute grace period for the start of the first game only to allow each team the opportunity to field the maximum number of rostered players or until the tenth player arrives. Once the time expires or the tenth player arrives the game will begin.

All players will be in the batting order. If a player becomes ill or hurt and cannot bat, no out will be declared.

Double wall or multi-wall bats may be used in the 8U – 18U age groups during in-park play and tournament play. 6U will not use double wall or multi-wall bats during in-park play.

All batters must wear batting helmets with chin straps.

All catchers must wear a catcher’s helmet, mask, throat guard and chest protector.

No jewelry may be worn.

Any KGSA team playing at another leagues park or playing in another league will follow that leagues outline of rules.

Any rule not covered by KGSA in-park rules will be covered by ASA rules.

 

Run Rule---20 run lead after 3 innings, 15 run lead after 4 innings, 10 run lead after 5 innings. (All age groups except 6U.)

  

***RUN RESTRICTIONS***

6U – 4 runs per inning.

8U - 5 runs per inning, with the exception of the 5th inning (if time permits) which will cap at 10 runs. If the time clock expires prior to the 5th inning or the run rule is applied there will be no open inning.

***TIME LIMITS***

6U – 1 hour time limit. No umpires

8U–19U - 1 hour 10 minutes.

 

***BASE DISTANCE AND PITCHING DISTANCE***

6U - 60 feet bases. Pithcer’s feet must be inside the pitching circle.

8U – 60 feet bases. Pitcher must stand a minimum distance of 35 feet from home plate.

10U -- 60 feet bases. --- Pitcher must stand a minimum distance of 35 feet from home plate

12U/14U-- 60 feet bases Pitcher must stand a minimum distance of 40 feet from home plate

16U+ -- 65 feet bases. Pitcher must stand a minimum distance of 43 feet from home plate


***AGE DIVISION RULES***

6 and Under--- 6U

1. There will be an 8 foot radius circle around the 35 ft. pitching rubber.

2. Semi-circle foul line will be placed 10 feet out from the back of home plate. A ball not leaving this area is considered a foul ball. The line itself is considered to be foul territory.

3. An inning is over after 3 outs or 4 runs  scored.

4. There are no intentional walks.

5. It is recommended that there be no sliding.

6. No infield-fly rule will apply.

7. There will be no more than 3 defensive coaches allowed on the field to instruct the players.

8. The coaches must stay behind the defensive players until the ball is in play.

9. Up to 2 player/pitchers may stand anywhere around the 8 ft. circle as long as one foot remains inside the circle until the ball is hit.

10. All play will halt when any player has control of the ball in the circle or is ahead of the lead runner with no other runners attempting to run. The defensive coach will call time and the offensive coach will determine if any runner has crossed the half-way point between bases. If any dispute, the runner will be awarded the base and a KGSA Board Member will umpire the remainder of the game

11. If the ball is hit to the pitcher in the circle and no play is attempted by the pitcher, all forced base runners will advance one base.

12. Chattering is allowed by all players.

13. One of the approved coaches must pitch to all players.

14. Each batter will receive 5 coach pitches in an attempt to hit the ball then the Tee will be used for 3 attempts. After the 8th pitch/attempt, the player is out. Any foul off the 8th pitch/attempt is considered an out.

15. If the ball hits the adult pitcher, the ball is dead and the batter will bat over. No strike will be called.

16. After the ball is hit, the adult pitcher must exit the playing field away from the direction of the defensive play.

17. The adult catcher must remove the hitter’s bat and tee from the field of play once the ball is hit. If there is no adult catcher, the adult pitcher must move the equipment as he exits the field of play once the ball is hit.

18. Only one base shall be awarded on a ball that is thrown out of the field of play.

19. If a defensive player runs through the circle in an attempt to tag the runner, time will not be called.

 

8 and Under---

1. Run restriction: 5 runs per inning, with the exception of the 5th inning (if time permits), which will be capped at 10 runs. If the time clock expires prior to the 5th inning or the run rule is applied there will be no open inning.

2. There will be no intentional walks.

3. No Arc is required on the pitch thrown to the batter.

4. Each team will have a pitcher coach. The pitcher coach must stand 35’ from home plate and keep one foot on or behind the line until the pitch is delivered. The pitcher coach is not allowed to instruct or direct any players on the field (including the batter) once the ball is pitched (the only exception being if/when safety is concerned) and must exit field opposite play and remove the bat.  Excessive failure to do so will result in removing pitcher coach.

5. Each batter will receive 5 pitches and unlimited fouls. Three swinging strikes will result in an out. Foul balls will be considered strikes only on the first and second strike.

6. All members of a team will be allowed on the field for defensive play.

7. No player may stand closer than 40ft from the batter, except for the player/pitcher who must have at least one foot in the circle.

8. Only 6 players will be allowed in the infield (including the catcher) before any pitch in thrown. All other players must remain in the outfield (grass) until the ball is put into.

9. A team must have a player catcher if there are at least 9 players present. If a team has less than 9 players, a KGSA/City approved adult shall catch (preferably a coach). The appointed adult catcher shall not direct, shout, or instruct any player on or off the field (the only exception being if/when safety is concerned). Excessive failure will result in removing appointed adult catcher.

10. Sliding is not recommended.

11. There is no in-field-fly rule.

12. The no-slinging of bat rule will be enforced. The first offense will result in a warning from the umpire to the team. A repeat violation by any player of the same team may result in the batter being called out at the umpire’s discretion.

13. There will be no more than 2 defensive coaches allowed on the field to instruct the players.

14. All coaches must stay in the outfield grass while the ball is in play.

15. There will be no intentional rolling of the ball to get the runner out. (This will be left up to the discretion of the umpire and if called, all runners will be safe.) Any ball fielded within the circle must be thrown for any attempt at an out~There can be no unassisted play when the ball is fielded within the circle.

16. All play will halt when any player has control of the ball ahead of the lead runner with no other runners attempting to run.

17. Chattering is allowed by all players.

18. If the ball hits the adult pitcher, the play is ruled dead (no runners will advance, and the batter will bat over.) No strike will be called.

19. Only one base shall be awarded on a ball that is thrown out of the field of play.

20. The umpire is directed to ensure that the defensive team is not standing in the baseline prior a batted ball.

21. Time outs can only be called by the umpire.

Article l - Name of Organization

The organization shall be known as the Kennesaw Girls Softball Association, Incorporated (KGSA).  The organization shall be a not-for-profit organization doing business in the City of Kennesaw, Cobb County, Georgia.

 

Article II - Purpose of the Organization

The purpose of the Association shall be to work in cooperation with the Kennesaw Parks and Recreation Department in encouraging community unity for the purpose of obtaining opportunities for wholesome recreation and advancement of parks and recreation.  The Association’s objective is to provide Spring and Fall softball programs for girls up to nineteen (19) years of age living in Kennesaw and in surrounding Cobb County communities.

 

Article III - Membership 

Section 1.  Association Membership.  Membership shall include parents or legal guardians that have registered a player or players for play, Association-approved coaches, and all approved volunteers performing services for KGSA.

Section 2.  Annual Meeting.  The “Annual Meeting” of KGSA shall be announced by the Board of Directors.   The meeting will be held on the first Monday in the Month of October each year, at the hour of 7 o’clock p.m., for the purpose of electing the Board of Directors and for the transaction of such other business as may come before the membership.  If the election of Directors is not held on the day designated herein for any Annual Meeting of the Association, or at any adjournment thereof, the Board of Directors shall cause the election to be held at a special meeting of the Association as soon thereafter as conveniently may be arranged.

Section 3.  Special Meetings.  Special meetings of the Association, for any purpose or purposes, may be called by the President, by the Board of Directors, or by the President at the request of the Association.

Section 4.  Place of Meeting.  The Board of Directors may designate any place in Cobb Country for the Annual Meeting or any special meetings of the Association.  In the event no place for the meeting is designated, such meeting shall be held at the Kennesaw Community Center.

Section 5.  Notice of Meeting.  Written notice stating the place, day and hour of the Annual Meeting shall be advertised to the membership and to the community by placement of a meeting announcement at the Adams Park Softball Complex at least one week prior to the meeting.  The Board of Directors may also post notices of the meeting in a local newspaper, on the league website or mail notices to the membership.  If mailed, such notice shall be deemed delivered when deposited in the United States Mail, addressed to the member at his/her address as it appears on the registration form.

Section 6.  Voting.  A simple majority of those members present shall be required to pass any actions presented to the membership.  There shall be a minimum of 50% of the Board of Directors present unless specifically stated otherwise in any announcement of such meeting.

 

Article IV - Board of Directors

Section 1.  General Powers.  The business and affairs of the Association shall be managed by its Board of Directors.

Section 2.  Number, Tenure, and Qualifications.  The number of Directors of the Association shall be fixed by the Board of Directors, but in no event shall be less than six.  Each Director shall hold office until November 1st following the Annual Meeting and until his successor has been elected and qualified.

Section 3.  Elections.  Members of the Board of Directors shall be elected to the Board in the following manner:

  1. The Board shall appoint a nominating committee no later than September 15 to solicit nominations from the membership of the Association.
  2. The nominees shall accept responsibilities of the office prior to the election.
  3. The slate of nominees shall be presented to the membership at the Annual Meeting and the floor open for additional nominees from the Association members present.
  4. The slate of officers shall be voted on at the annual meeting and a majority vote of those members present is required for acceptance.
  5. The slate of nominees for President, Vice President, Treasurer, and Secretary shall have no less than two consecutive years experience on the KGSA board.
  6. Should a Board position become vacant for any reason, the President shall appoint, with advise and consent from the executive officers, a member of the Association to assume the office until the next election.          

Section 4.  Meetings.  Meetings are called by or at the request of the President, a member of the Executive Board, or any two Directors.

Section 5.  Notice.  Notice of any meeting shall be given at least one day prior to the meeting and may be given by written notice delivered personally or mailed to each Director at his or her business address, by e-mail, or by telephone.  If mailed, such notice shall be deemed to be delivered when deposited in the United States Mail so addressed, with postage thereon prepaid.  If notice is given by telephone, such notice shall be deemed to be delivered when a message is delivered to the Board member, a member of the person’s household, or to an answering message device.  Special or emergency meetings may be called with less notice where conditions warrant such action.

Section 6.  Quorum.  A majority of the number of Directors fixed shall constitute a quorum for the transaction of business at any meeting of the Board of Directors.

Section 7.  Manner of Acting.  The act of the majority of the Directors present at a meeting at which a quorum is present shall be the act of the Board of Directors.

Section 8.  Action Without a Meeting.  Any Board-required action that may be taken by the Board of Directors at a meeting may be taken without a meeting if consent is given in writing, stating action to be taken, and is agreed to by a majority or directors.  A vote may also be taken by telephone or e-mail of the full Board and that vote is so duly noted in writing.

Section 9.  Compensation.  Board members are volunteers and shall receive no compensation or favoritism for their participation on the Board.  Board members must pay registration fees for their daughters the same as any other member of the Association.  Board members are prohibited from doing business at a profit or for more than others may provide the service with the Association to avoid any appearance of a conflict of interest.  Services performed at cost, a reduced cost or free will be accepted with Board approval.  Bids may be secured to assure the cost is reasonable, fair, and equitable.  At the discretion of the President, a small gift at the end of the year may be purchased on behalf of the Association to show appreciation for the member’s service.

 Section 10.  Rules of Order.  The rules contained in Robert’s Rules of Order, revised, should govern all meetings of the Association in all cases to which they are applicable, and in which they are not in conflict with the rules of the Association or these By-Laws.

 Section 11.  Presumption of Assent.  A director of the Association who is present at a meeting of the Board of Directors at which action on any matter is taken shall be presumed to have assented to the action taken unless his dissent shall be entered in the minutes of the meeting or unless he shall file his written dissent to such action with the person acting as the Secretary of the meeting before the adjournment thereof, or shall forward such dissent by registered mail to the Secretary immediately after the adjournment of the meeting.  Such right to dissent shall not apply to any Director who voted in favor of such action.

 

 Article V - Officers 

Section 1.  Number and Positions.  The Board of Directors shall have an Executive Committee that consists of at a minimum a President, Vice President, Secretary, Treasurer, League Coordinator and Fast-Pitch Coordinator. In addition to these positions, the Board of Directors shall consist of a representative from each age group of play, Scheduler, Assistant Fast-Pitch Coordinator, All-Star/Tournament Coordinator, and Website Coordinator.

 Section 2.  Removal.  Any officer, agent, or coordinator may be removed by the Board of Directors whenever, in its judgment, the best interests of the Association will be served thereby.  A vacancy in any office because of death, resignation, removal, disqualification, or otherwise, may be filled in accordance with Article IV, Section 3.

 Section 3.  President.  The President is the principle executive officer of the Association and shall preside over all meetings of the Association.  If unable to preside over a meeting for any reason, the President shall delegate his or her authority to the Vice President. The President shall represent the membership and the Board of the Association at all meetings called or scheduled by the Kennesaw Parks and Recreation Department and in whatever other capacity arises.  The President shall have the authority to appoint all committees as needed.  In general, the President shall supervise and control all of the business and affairs of the Association.  The President may sign contracts or other instruments which the Board of Directors has authorized to be executed.  The President in general shall perform all duties incidental to the office of the President and such other duties as may be prescribed by the Board of Directors from time to time.

 Section 4.  Vice President.  In the absence of the President or in event of his death, inability or refusal to act, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President.  The Vice President shall oversee Concession Operations and Equipment Management but shall seek a broad knowledge of Association operations so as to assume the role of President upon the departure of the President.  The Vice President shallperform such other duties as from time to time may be assigned to him by the President.

 Section 5.  Secretary.  The Secretary shall: (a) keep the minutes of the proceedings of the Board of Directors; (b) see that all notices are duly given in accordance with the provisions of these By-Laws or as required by law; (c) be custodian of the records and of the seal of the Corporation and see that the seal of the Corporation is affixed to all documents, the execution of which on behalf of the Corporation under its seal is duly authorized; (d) keep a register of the post office addresses of each Board member to be furnished to the Secretary by such Board member; (e) in general perform all duties incidental to the office of the Secretary; and (f) shall perform such other duties as assigned by the President.

Section 6.  Treasurer.  The Treasurer shall: (a) have charge and custody of and be responsible for all funds of the Association; (b) receive and give receipts for monies due and payable to the Association from any source whatsoever, and will ensure all such monies are deposited in the name of the Association in such banks, trust companies or other depositories as shall be selected; (c) in general perform all of the duties incidental to the office of the Treasurer; and (d) shall perform such other duties as assigned by the President.

Section 7.  Player Representatives.  The Player Representative shall: (a) ensure the coordination of the skills test / tryouts for their respective age group; (b) assure that every registered player in their age group is assigned to a team through a draft performed in accordance with the Associations Rules and Regulations; (c) maintain players roster for their respective age groups; (d) represent the players' and parents' interest acting as a liaison in all matters before the Board; and (e) shall perform such other duties as assigned by the President.

Section 8.  Fast-Pitch Coordinator.  The Fast-Pitch Coordinator oversees all areas of operation for the fast-pitch program. The Fast-Pitch Coordinator shall: (a) recruit managers and coaches; (b) present the fast-pitch managers and coaches to the Board for approval in accordance with the Association’s Rules and Regulations; (c) coordinate incooperation with the Fast-Pitch Player Representative the skills test / tryouts and draft / selection process; (d) coordinate with All-Star / Tournament Coordinator the all-star team selection process in accordance with the Rules and Regulations; (e) bring to the Board any protest arising out of the fast-pitch program’s play; (f) serve as liaison to the board for any fast-pitch travel teams representing KGSA; and (g) shall perform such other duties as assigned by the President.

 Section 9.  Assistant Fast-Pitch Director.  The Assistant Fast-Pitch Coordinator / Fast-Pitch Player Representative shall: (a) represent any fast-pitch player’s interest in all matters before the Board; (b) assist the Fast-Pitch Director as requested; (c) maintain players roster for fast-pitch players; and (d) shall perform such other duties as assigned by the President.

Section 10.  Scheduler.   The Scheduler shall coordinate with the League Coordinator, The Fast-Pitch Coordinator and Coaches to schedule all field use for practices and games. The Scheduler will also ensure that schedules and changes are communicated as necessary to the Association and he shall perform such other duties as assigned by the President.

 Section 11.  All-Star Coordinator / Tournament Coordinator.  The All-Star Coordinator/Tournament Coordinator (a) oversees and coordinates all-star team audition and selection process as defined in the Association’s Rules and Regulations; (b) ensures that all-star teams operate per the Association’s Rules and Regulations; (c) serve as point of contact for tournaments sponsored by KGSA; and (d) shall perform such other duties as assigned by the President.

 Section 12.  Website Coordinator.  The Website Coordinator manages the Association website and shall perform such other duties as assigned by the President.

 

 

Article VI - Liability

The Association, the Board of Directors, the City, the County, the managers and coaches shall not be held liable for actions taken in the course of carrying out the business of the Association.  Parental permission for participation shall be acquired for all players.  The parents or legal guardians shall assume all risk and hazards incidental to the conduct of the activities and transportation to and from the activities of the Association.  Further, the parents shall release, absolve, indemnify and hold harmless the activity, sponsor, the Board of the Association, the supervisors, any or all of them.  Parents shall give permission to take the child to the doctor or hospital in case of injury.

The assets of the Association should be protected through the purchase of insurance coverage.  The Board of Directors may, at its discretion, direct the purchase of liability insurance.  The Board shall decide to register all of its teams with a sports association (ASA, USSSA, ISA, NSA, etc.) and purchase insurance for teams where required.

 

Article VII - Audits and Fiscal Year

The fiscal year of the Association shall begin on the first day of January and end on the last day of December of each year.  The books of the Association are open for review by the City of Kennesaw and may be audited by a duly licensed firm as directed by the Board of Directors and the audit reviewed and accepted by the Board of Directors.

 

Article VIII - Corporate Seal

The Board of Directors shall provide a corporate seal which shall be circular in form and shall have inscribed thereon the name of the Association and the State of incorporation and the words, “Corporate Seal.”

Article IX - Representation

All teams that represent the Association shall wear on their uniform the name of the Association, Kennesaw, or have the uniform approved by the Board.  All teams, coaches, managers and parents shall represent the Association in the best light possible and encourage a healthy environment in which girls may engage in athletic competition, develop athletic skills, and learn proper sportsmanship.  It is acknowledged that the Association operates at all times to promote the best interests of its youth participants and, to the fullest extent possible, to ensure that all participants, regardless of their skill level, have a rewarding and enjoyable experience.

 Article X - Special Purpose Fund-Raising

It is recognized by the Association that all-star teams, tournament/travel teams, and fast-pitch teams may need to engage in fund-raising activities.  Fund-raising activities shall be done only to support the teams’ participation in tournaments including tournament fees, travel costs, meals and lodging, to purchase additional uniforms and purchase trophies or team awards or parties.  Activities shall be done in the name of the Association and shall not compete with the fund-raising activities of the full Association.  All fund-raising activities shall be in good taste, reflect positively on the girls and the Association, and provide a healthy, growth-oriented opportunity to the participants.  Teams that raise funds shall establish a checking account for the deposit of funds and the dispensing of all funds shall be done by check so as to provide for an accounting of all expenses.  Teams shall designate a business manager who is someone other than the manager / head coach but may be a parent of a team member.  The records of the team must be turned over for inspection to an Executive Board member requesting in writing an accounting of the team’s funds.  Any balance of funds at the end of the team’s season shall be returned to the team members, spent for the benefit of the team, or donated in the name of the team to the Association for the purchase of equipment, park improvements, or other activities to benefit the Association’s members.  The team shall make an accounting of its revenue and expenses to the Board of Directors.

Article XI - Amendments

 These by-laws may be altered, amended, or repealed and new By-Laws may be adopted by the Board of Directors at any regular or special meeting of the Board of Directors.
