for

 

MOMENTUM YOUTH TRACK CLUB

 

 

 

ARTICLE 1 - CLUB NAME

 

1.1 The name of this organization shall officially be MOMENTUM YOUTH TRACK CLUB.

1.2 Momentum Youth Track Club reserves the right to deny anyone a membership under the Momentum Youth Track Club name or the clubs Amateur Athletes Union Identification Number.  This does not interfere with obtaining a membership with another track club, nor does it interfere with obtaining the Amateur Athletics Union (AAU) membership.

 

ARTICLE 2 - PURPOSE

 

2.1 Provide athletics opportunities for amateur athletes in the sport of Track and Field:

 

 

 

  • Motivate athletes to excel academically.
  • Develop good sportsmanship, by promoting friendship and fair play.
  • Develop competitiveness, by establishing well organized programs and competitions.
  • Develop strong minds, bodies, self-discipline, self-esteem and high moral standards.
  • Develop selfless service, by connecting with the community to aid in community service and outreach activities.

 ARTICLE 3 - CLUB ORGANIZATION

 

3.1  The Momentum Youth Track program is a 501(c)(3) non-profit corporation, with the purpose to promote and offer amateur athletics (Track & Field) program through a volunteer base for all boys and girls ages 6-18 years old, in the city of Midlothian, Texas (Ellis county), and surrounding cities.  Momentum Youth Track Club will not discriminate in its sports, events, programs or activities, based on race, ethnicity, gender, disability, religion, or any other legally protected classification. 

 

 3.2  The Momentum Youth Track Club shall not be operated for profit and shall have no capital stock and shall make no distribution of dividends to its board, coaches, club members, or persons having a private interest in the activities of the club, except that shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in these Bylaws.  

 

ARTICLE 4 - SANCTIONS and AFFILIATIONS

 

4.1  Momentum Youth Track Club is sanctioned as an independent organization under Amateur Athletic Union (AAU) of the United States Inc.  Momentum Youth Track Club is affiliated with Amateur Athletic Union (AAU) of the United States Inc, and other bodies when it is deemed to be in the best interest of the organization membership to further the purposes set for in Article 2.

  

ARTICLE 5 - MEMBERSHIP

 

5.1  Membership with Momentum Youth Track Club shall be defined as any youth boy or girl ages 6-18 whom possess a membership card under the guidance of the Amateur Athletic Union.  A youth that registered with the organization during the current season, is obligated to adhere to the bylaws and rules of the organization and that of Amateur Athletic Union in all matters pertaining to District, Regional, and Junior Olympic competitions.

 

5.2  A youth member may elect to participate in his/her District of bona fide residence or a District that geographically adjoins that District.

 

 ARTICLE 6 - BOARD OF DIRECTORS

 

6.1  Administration of Momentum Youth Track Club shall be under the supervision of the Board of Directors.  Momentum Youth Track Club Board of Directors will consist of:  President, Vice President, Secretary, Treasurer and Co-Treasurer. The Board shall meet a minimum of three (3) times a year.  A vacancy on the Board shall be declared when a board member resigns, dies or fails to attend without cause two (2) consecutive duly called meetings.   

  

6.2  Duties of Directors  

 

The duties shall include but are not limited to the following:

 

  • Conduct all Momentum Youth Track Club business in accordance with the club Bylaws and AAU Bylaws and National Policies.

 

  • Approve the annual coaching roster.
  • Approve any sanction event the Momentum Youth Track Club will participate in, or any events the club shall sponsor or host.

 

  • Make and adopt temporary rules and regulations for specific cases or occasions not provided for in Bylaws and, by which are deemed necessary to carry out the objectives of the club.

 

  • Hear and pass judgment on all request protest and appeals brought forth by any member, parents/guardians, officers, or committee members.

  

6.3 Responsibilities of Directors The responsibilities of the Board shall include but not limited to the following:

 

 

 

  • Be thoroughly familiar with the Momentum Youth Track Club and Amateur Athletics Union, USA Track & Field Bylaws and the club and individual insurance, so as to be in a position to interpret. Where there is doubt, a ruling should be obtained from the club President. Be present at all meetings, unless otherwise excused. Supervise public relations of the Momentum Youth Track Club. Promote adult interest in the youth program and recruit desirable persons to assist the development of the Momentum Youth Track Club and its members. Suspend, bar or otherwise discipline any athlete, coach, assistant coach, event coach, or club member whose actions have been deemed detrimental to the club.

  

6.4  Removal of  Directors

 

Any Board member can be removed from office by a 75% vote of the Board of Directors.  Directors may be removed from office if any of the following has been found to have occurred. The following are grounds for removal but not limited to:

 

 

 

  • Absent two (2) or more consecutive board meetings in a calendar year (unless excused by majority of The Board).
  • Becomes physically incapacitated or his/her inability to serve is established in the minds of the Board.

 

  • Found to have engaged in activities that are directly contradictory to the interests of the club.
  • Found to be engaged in the misrepresentation of the corporation and its policies to outside third parties, either willfully, or on a repeated basis.

 

  • Failure to meet the qualifications set forth in Article 6.
  • Failure to fulfill his/her responsibilities as a Board member or circumvention of the club and AAU Bylaws and/or rules shall be grounds for removal. 

 6.5 Before removals occur, Board members will be advised of allegations and basis for the allegations, and will be given an opportunity to present the Board any contrary evidence, or explanation he/she may have.       

 

ARTICLE 7 - BOARD OF DIRECTORS DUTY DESCRIPTIONS

 

  • President - Preside over all meetings of the membership and the Board.  He/She will establish

 

committees and appoint committees as required administering and managing the programs and business of this organization. Oversee the short/long term goals and strategies on the club.  He/She will serve as the liaison between club and other organizations.  The President will representative of Momentum Youth Track Club in all matters.  He/She will carry out any other further duties that are assigned deemed necessary for the success of the club.  The President will authorize all disbursements from the treasury.  He/She have the authority to call any meeting.  The President shall only vote on matters before the Board in the event of making or breaking a tie. 

 

 

 

  • Vice President - In the absence or disability of the President the Vice-President shall perform all Duties of the President.  He/She will assist the President in his/her duties and any committee assignments deemed necessary for the success of the club.

 

 

 

  • Secretary - Record and publish minutes of all meetings and other communication as requested. Give proper notification of membership meetings, and other organized events. Attend to and be custodian of all offices assets, correspondence, records, rosters, reports and other pertinent information for the club.  He/She will responsible for the preparation of the Annual Reports and carry out any further duties that may be requested by the President. 

 

 

 

  • Treasurer & Co Treasurer - The Treasurer will file appropriate federal income reports. Shall keep and maintain adequate correct accounts of the properties and business transactions of Momentum Youth Track Club. The books of account shall at all reasonable times be open to inspection by any Board member.  The Treasurer shall deposit all monies in the name and to the credit of the corporation with depositories designated by the Board.  The Treasurer shall disburse the funds of the club as may be ordered by the Board.  He/She shall submit to the Board, at each meeting, or whenever requested, an account of all transactions and of the financial conditions of the club.  He/She shall have other powers and perform other duties as may be prescribed by the Board.  Two signatures are required when handling the counting of monies.

 

ARTICLE 8 - FINANCIAL MANAGEMENT

 

8.1 Financial Ownership             

 

  • All monies paid to the Momentum Youth Track Club as registration fees, association membership fees, or funds earned from any fundraising activity under the name of Momentum Youth Track Club or any of its team members, are the property of Momentum Youth Track Club and cannot be dispersed in any manner inconsistent with these Bylaws.

 

 

 

  • Refunds of overpaid fees or assessments may be made, provided that the money involved was not earned through MYTC fundraising projects or activities.

 

 

 

  • The Board shall decide on any question regarding ownership or disbursement of Momentum Youth Track Club monies.

 

 

 

  • Registration fees are non-refundable.

 

 

 

  • Fundraising projects or activities will be established for the purpose to off-set travel expenses for athlete(s) participating in the Junior Olympics, club banquet or club equipment and administrative supplies.

 

 

 

  • It is the full responsibility of the parents/guardians to pay 100% cost of any travel, lodging or meal expenses for their child during trips to all competitions, in or out-of-state, to include developmental meets, District, Regional’s and Junior Olympic competitions.

 

 

 

  • Momentum Youth Track Clubs distribution breakdown for each fundraiser is as follows:

 

a. Travel expenses to Junior Olympics (50%), Equipment and administrative supplies (30%), and Club Banquet (20%).

 

 

 

  • The Board must approval fundraising projects, activities, or events sponsored by Momentum Youth Track Club.

 

 

 

  • No loans shall be contracted on behalf of the Momentum Youth Track Club and no evidence of indebtedness shall be issued in its name.

 

 

 

  • Momentum Youth Track Club shall not assume, nor be liable for, the debts not the financial responsibilities, either implied of incurred, of any of its members. 

 

 

ARTICLE 9 - ANNUAL MEETINGS

 

9.1  Board of Directors Meetings

 

Board must meet a minimum of three times a year, and may hold meetings at such times and places within Ellis county in the State of Texas. The meetings will be conducting during the months of:

 

  • February
  • July
  • November

 9.2  Order of Meetings

 

  • Review/Approval of minutes from prior meeting
  • Report of Directors
  • Report of Committees
  • Unfinished Business           
  • New Business
  • Adjourn

 9.3  Special Meetings

 Special meetings may be held President or by a majority of the Board of Directors as deemed necessary by the Board.

 

9.4  Parent/Team Meetings

 

Parent/Team meeting will be held weekly to provide parents/guardians with upcoming, updated and current team information.  Exchange of information will be disseminated at least one of the following manners of communication:

 

  • In person
  • Printed Material
  • Email
  • Club website 

 

ARTICLE 10 - COACHES/ASSISTANT COACHES/EVENT COACHES

 

10.1 Interested parties whom desire to coach youth sports must first attain a coach AAU non-athlete membership card.

 

 

 

  • Persons with a high-interest for head coaching will be reviewed and selected by the Board. All other coaches will be selected by the Head Coach.
  • All coaches must be registered AAU non-athlete member which includes a criminal background check.

 

  • No compensation shall be paid to any member for services as a coach for Momentum Youth Track Club.
  • There are no term limitations for the coaching staff members.

 10.2  Removal of a Coaches/Assistant Coaches/Event Coaches

 

Coaches may be removed from if any of the following has been found to have occurred. The following are grounds for removal but not limited to:

 

 

 

  • Becomes physically incapacitated or his/her inability to serve is established in the minds of the board.
  • Found to have engaged in activities that are directly contradictory to the interests of the club.
  • Found to be engaged in the misrepresentation of the corporation and its policies to outside third parties, either willfully, or on a repeated basis.

 

  • Failure to meet the qualifications set forth in Article 10.1, a-d.
  • Failure to fulfill his/her responsibilities as a coaches or circumvention of the club and AAU Bylaws and/or rules shall be grounds for removal.

 ARTICLE 11 - CLUB COMMITTEES/VOLUNTEERS

 

  • Individual who desire to be a part of the volunteer staff to help manage and direct operations of the Momentum Youth Track Club may be asked to fill out a volunteer application and purchase an AAU non-athlete membership.

 

 

 

  • Volunteer Committee shall be interest adults used to support, and promote the success of the Momentum Youth Track Club and its members.  Committee personnel may serve as long as they willing and remain in good standing with the club and Amateur Athletic Union.

 

 

 

  • Committee shall consist of include:

 

Webmaster, Fundraising Committee, Travel Committee, Video & Photography, Equipment Manager, Publicity/Newspaper Committee, Banquet Committee, Statistician/Time Keeper, Scholarship Selection Committee, and Quality & Control Team.

 

 

 

  • Various Committees may be required to be a registered AAU member who includes a criminal background check.

 ARTICLE 12 - ADMENDMENTS

 

Bylaws may be amended or repealed in whole or in part, and new Bylaws adopted by the board of Directors.  Amendments to Bylaws may be made at anytime by a three-fourths (¾) vote of the Board of Directors.  November each year Bylaws will reviewed, changed and/or updated.

  

ARTICLE 13 - DISSOLUTION

 

In the event the Momentum Youth Track Club is dissolved, the Board shall pay, satisfy and discharge all liabilities and obligations of the Momentum Youth Track Club or make adequate provision therefore and distribute all remaining assets of the Momentum Youth Track Club to an organization or organizations engaged in activities substantially similar t those of the Momentum Youth Track Club and organized and operate exclusively for charitable or purposes as shall at the time qualify as an exempt organization under Section 501(c)(3) of the Internal Revenue Code of 1986 (or corresponding provision of future laws).

 

ARTICLE  14 - OTHER PROVISIONS

 

The Board may create, adopt and implement separate rules and/or guidelines for coaches, participants and parents, which govern the activities and responsibilities associated with participation in the activities promoted by the club.  The guidelines may change, on an annual basis within the same time procedures set forth in Article 12.

 

14.1  Removal of Participants Parents/Guardians 

 

  • In violation of the ByLaws set forth by Amateur Athletic Union and Momentum Youth Track Club.
  • In violation of the Momentum Youth Track Club, “Code of Conduct Policy“.
  • In violation of the Momentum Youth Track Club, “Zero Tolerance Policy.”

14.2  Removal of Athlete

 

  • In violation of the ByLaws set forth by Amateur Athletic Union and Momentum Youth Track Club.
  • In violation of the Momentum Youth Track Club, “Code of Conduct Policy“.
  • In violation of the Momentum Youth Track Club, “Zero Tolerance Policy.”

 CERTIFICATE OF SECRETARY

 I, the undersigned, being the Secretary of Momentum Youth Track Club, hereby certify that the above Bylaws consisting of 6 pages were adopted as the Bylaws of this club pursuant to majority vote of the Board of Directors, effective as of December 1, 2010.  The Bylaws are, as of the date of this certification, the fully adopted and existing Bylaws of this corporation.
