ARTICLE 3

SECTION 1 OFFICERS
A. The general officers of said corporation shall be a President and Treasurer (these offices are to be
combined as one) a Vice-President and a Secretary. Said officers to hold office for the term of one
year and until their successors are elected and qualify. The new officers will assume office on
January 1st following their election.

By-Law Committee's suggested changes:

Said officers to hold office for the term of one year or until their successors are elected and qualify. The new officers will assume office on December 1st following their election. An officer other than the president may hold more than one office if elected (example vice-president and secretary).

The by-law committee was concerned about the future of the league and the possibility of a new president not wanting or being capable of handling both the presidency as well as the treasurer part of the job. Carl is competent and able to handle this currently and as the by-law reads now it has to be that way. After hearing Carl's take on it this would probably be something that he could be grandfathered into but would be something the league would have to strongly consider in the future of the next president. The 2nd part of this is moving the start time of their service up to December instead of January. The reason for this is the hope that we can have a December meeting and get the ball rolling faster on the season as fields and umpires become tougher to get. The offices would still be voted on at the end of the year, but instead of having the first meeting in January, this would not occur in December.

SECTION 2 EXECUTIVE COMMITTEE
A. The Executive Committee shall be comprised of the general officers and two members from the league, one
from each division. These two members are to hold office for the term of one year and until their successors are
elected and qualify.

By-Law Committee's suggested changes:

elected and qualify. In the event of even membership of the Executive Committee another officer will be elected at the fall meeting.
B. The findings of the Executive Committee shall be final. Under no circumstances shall it be reconsidered, reopened or inquired into, either by the league or a subsequent board. (add this in from Section 12, Article 3)

Reasoning:

It is possible that if the treasury and presidency were split that the General Officers could consist of 4 people, along with the 2 members from each division, it would result in an even number for voting, so it is suggested that in this case, the executive commitee may choose another to have odd numbers. The second part was just moved from another part of the by-laws into an area that made sense.

SECTION 3 DUTIES
A. Duties of President/Treasurer
1. He shall preside at all meetings.
2. He shall receive all monies of the league and pay all bills.
3. He shall have full charge of the schedule.
4. He shall preside over the Executive Committee.
5. He shall, as Treasurer, keep a record of all franchise fees, forfeit fees, fines and funds, as well as present an annual financial report at the Franchise deadline Meeting.
6. He shall appoint all committees with the exception of the Executive Committee.
7. He shall compile all league statistics.
8. He shall handle all correspondence of the league.
9. He shall perform all such duties as are specified in these by-laws.
B. Duties of Vice-President
1. He shall take over all duties of President in his absence.
C. Duties of Secretary
1. He shall keep the minutes of all meetings including committee meetings.
2. He shall keep a correct and complete record of all the proceedings of said corporation such as they relate to the election of officers.
D. Duties of the Executive Committee
1. The Executive Committee shall hear all protests in regard to the technicalities of the rules.
2. The Executive Committee shall hear and rule on all matters pertaining to player eligibility and conduct.
3. The Executive Committee shall impose penalties and suspensions as set forth by these by-laws.
4. In the event that the protest or hearing involves a player or team represented by a member of the Executive Committee, the President shall appoint a member or members to this committee from the opposite division of said committee member. Page 1
5. The Executive Committee shall act as the auditing committee and shall audit the books before the Organizational Meeting.
6. An appointed member of the Executive Committee shall be present at all play-off games. Protests must be ruled on at this time. The President may appoint a director from the league if no Executive Committee member is available. These committee members shall receive free admission to these games.


By-Law Committee Suggestions:

We did not get into this area as we had alot of ideas for it but we could have been stuck on it for a long time. The Duties would have to be changed some for the by-laws if the suggested changes were approved. These changes would not go into effect until the next year (2014). Some of the thoughts that we had for example were, taking the Franchise Fees and then taking percentages of this to pay individuals who held the offices of the league. So for example, the President may recieve 50% of the Franchise Fee, the Treasurer %20, the VP, %5, etc.... This will need further discussion at a later date possibly.

Not sure if the wording is good to say that the President and Treasurer are on job. Maybe it needs to read that they can have the option of holding two offices. I do think that there should be seperation but I understand Carl's argument and he is more than qualified to do both. This will not always be the case, therefore I believe the wording should be changed to can hold more than one office, other than VP. All other changes we are in favor of, it is simply just trying to be proactive and getting things started sooner, the more youth teams that are out there now and tournaments by them, the harder it is to secure fields in certain communities.

I agree that the by-laws should be "can hold two offices" but I think treasurer is the only office that the president could also hold. As far as splitting up the franchise fees to include payment for all officers, I think the percentages mentioned may be too high.

We agree with Clyman, It should be the President's option to run for Treasure and therefore the Treasure should be a seperate election. Just a suggestion could these terms be longer than one year as to avoid these yearly election's. Just a suggestion.

Lebanon agrees with Mr.Schultz that the by-laws should be "can hold two offices" and also that the treasurer is the only office that the president could also hold. We can probably talk compensation at the next meeting.

We agree with the ability to hold two positions (president/treasurer) but agree something should be in place to protect against someone not qualified to hold both.
