Patriot Quarterback Club, Inc.

By-Laws (revised January 14, 2019)

 

Article I

Purpose

Name:  The name of the organization shall be Patriot Quarterback Club, Inc. Incorporated:  January 20, 2009

Document Number:  N09000000671 (A Florida Non-Profit Corporation)

Purpose:  The purpose of this organization shall be to provide leadership, equipment, and supplies as needed to support a progressive football program for young men at Pace High School.

Amendments:  By-Law amendments may be made by the following:

  • Any proposed amendment changes or additions shall be submitted in writing to the Patriot Quarterback Club, Inc.  
  • Amendment submissions (changes or additions) along with the opinions of officers and members shall be read at the monthly meeting in January, May, and September.  A two-thirds majority vote of the members present is required for adoption.

 

Article II

Officers

Composition:  The Patriot Quarterback Club, Inc.'s officers shall consist of a President, Senior Class Vice-President, Junior Class Vice-President, Sophomore Class Vice-President, Freshman Class Vice-President, Secretary, and Treasurer.  If the event enough nominations aren’t received to fill all the positions listed above, the Patriot Quarterback Club will at the very minimum be required to have a President, Vice-President, Treasurer, and Secretary.

Eligibility:  To be eligible for an officer position, nominees must be a member of the Patriot Quarterback Club, Inc. and must be in good standing with the club.  No household shall occupy more than one position during the same term.

Terms of Office:  The term of office shall be 1 year and will begin February 1st.

Nominations:  Officers shall be nominated at the December club meeting.  The slate of officers will be presented to the membership at the annual meeting/banquet in January.  A two-thirds majority vote of the members present is required to approve the slate of officers. 

Vacancy:  Whenever a vacancy shall occur among the officers (with the exception of the President) by death, resignation, removal, or otherwise; the same shall be filled as soon as possible by Presidential appointment, with the approval of the other officers.  The person shall then hold office until assumption of duties by newly elected officers.  If the position of President is vacated, the Senior Class Vice-President shall assume the duties of the President and serve the remainder of the term.

Removal:  Any one or more officers may be removed with cause, at any time, by the vote of the general membership; through a special meeting called for that purpose; or at a regular monthly meeting, provided that a quorum is present.

 

Article III

Duties of Officers

President:  The President shall reside over all meetings of the Patriot Quarterback Club, Inc.; shall appoint any committee to fulfill the purpose of the Patriot Quarterback Club, Inc.; and any other duties that customarily pertain to such office.

Class Vice-Presidents:  The Senior Class Vice-President shall assume the duties of the President in the absence of the President. The Senior Class Vice-President, Junior Class Vice-President, Sophomore Class Vice-President, and Freshman Class Vice-President shall supervise the Committee Head for any committee the President deems necessary to fulfill the purpose of the Patriot Quarterback Club, Inc.; shall assist the Committee Head develop a plan of action to successfully develop any committee the President deems necessary to fulfill the purpose of the Patriot Quarterback Club, Inc.; shall assist the Committee Head organize members for any committee the President deems necessary to fulfill the purpose of the Patriot Quarterback Club, Inc.; shall supervise the Committee Head to ensure successful outcome for any committee the President deems necessary to fulfill the purpose of the Patriot Quarterback Club, Inc.; and any other duties that customarily pertain to such office.

Secretary:  The Secretary shall keep an official record of all meetings; record and preserve the minutes of such meetings; and provide copies of such minutes at each meeting.  The Secretary shall oversee the operation and record maintenance of the website (pacepatriotsfootball.com) and Facebook page (Pace Patriots Quarterback Club Pace, FL) by gathering information and posting current events; and any other duties that customarily pertains to such office. 

Treasurer:  The Treasurer shall maintain all funds of the Patriot Quarterback Club, Inc.; shall maintain a record of all receipts and disbursements of the club's funds; shall pay all bills and taxes accrued by the Patriot Quarterback Club, Inc.; shall provide a statement of all activity during all meetings; and any other duties that customarily pertain to such office.

 

Article IV

Membership

Membership:  Anyone who pays annual membership fees and wishes to promote Pace Patriot football may join the Patriot Quarterback Club, Inc.

Term of Membership:  The term of membership shall run from May 1st to April 30th.

Annual Dues:  The annual Patriot Quarterback Club, Inc. membership fees shall be $50 or $75.

Levels/Benefits:  Each membership level is per family.

  • $75 fee (Red Member) entitles the member to voting privileges, officer eligibility, a yard sign of their player(s) and two parking passes to all regular season home games from May 1st to April 30th.
  • $50 fee (Blue Member) entitles the member to voting privileges, officer eligibility, a yard sign of their player(s) and one parking pass to all regular season home games from May 1st to April 30th.

 

Article V

Committees

Committee:  The President shall appoint any committee he/she deems necessary to fulfill the purpose of the Patriot Quarterback Club, Inc.

Appointment:  The President shall appoint any member in good standing to be a Committee Head. 

Composition:  Any member in good standing with the Patriot Quarterback Club, Inc. may serve on a committee.

 

Article VI

Meetings

Meetings:  Patriot Quarterback Club, Inc. meetings shall be held on the first Monday of each month at 6:00 pm during the offseason; during football season meetings shall be held each Monday at 7:00 pm.

Special Meetings:  Officers shall have the authority to call a special meeting at any time needed including officer’s meetings.  Special meetings must have a 48 hour notice given to members or officers who are invited to attend.

Order of Business:  The order of business at regular meetings shall be as follows:

  • Call to order
  • Welcome to new members or guests
  • Quorum to conduct business
  • Secretary's report
  • Treasurer's report
  • Committee reports
  • Old business
  • New business
  • Coaches comments
  • Adjournment

 

Article VII

Quorum

A quorum shall consist of an average number of members present at monthly meetings and a minimum of three officers.  If a quorum is not met then the vote is tabled to the next meeting when a quorum can be met.  Regular meetings can be held without a quorum as long as no decisions need to be brought to a vote.

Article VIII

Financial Checks

 

Checks:  All checks must be signed by two officers.

Deposits:  All money raised by or on behalf of the Patriot Quarterback Club, Inc. shall be deposited into the Patriot Quarterback Club, Inc. checking account.  All monies collected on behalf of the Patriot Quarterback Club, Inc. shall be presented to the Treasurer for deposit no longer than 48 hours after collection.

Purchases:  Any single purchases of $1,000 or more shall require two bids from separate merchants to ensure the best pricing and fair trading.

Checking Account:  The President shall be responsible for notifying the bank concerning incoming officers.

Financial Responsibilities:  All checks and bills payable shall be agreed upon by the President of the Patriot Quarterback Club, Inc.  No Officer or Committee Head shall have the power to make any bill, payable note, draft or endorse checks, create debt, or sign a contract in the name of the Patriot Quarterback Club, Inc. without express authorization from the President.

 

Article IX

Locks and Keys

Composition:  The Patriot Quarterback Club, Inc. shall maintain the locks and keys to the Shack, field supplies storage shed, and pavilion as well as keys to the field gates.

Number of Sets:  There shall never be more than 6 sets of keys.

Eligibility:  The President, 4 Class Vice-Presidents, and Treasurer shall be the only persons issued a set of keys.

Terms of the Keys:  All outgoing, key holding officers shall pass their keys to the newly elected officers incoming to their position at the February meeting when their term ends (i.e. the outgoing President shall pass his/her keys to the incoming President, the outgoing Senior Class Vice-President shall pass his/her keys to the incoming Senior Class Vice-President, and so on).

Responsibility:  The terms of responsibility shall be as follows:

  • Officers possessing keys are responsible for the safe keeping of their keys.  
  • When a set of keys is lost or stolen it shall immediately be reported to all other officers and that officer shall be responsible for the replacement costs of all locks and keys.
  • Officers may pass their keys to the Secretary or a Patriot Quarterback Club Committee Head (i.e. the Shack, pre-game meal, field painting, etc.) needing access when none of the key holding officers are able to meet them to allow access and keys shall be passed directly from Officer to Secretary or Committee Head and back within 48 hours.
  • Officers are responsible for ensuring no keys are copied without a vote of the membership and addendum to the by-laws.

 

Article X

Quarterback Club Informational Binders

Composition:  The Pace Patriot Quarterback Club, Inc. shall maintain the informational binders given to all officers.

Number of Binders:  There will never be more than 7 informational binders.

Terms of the Informational Binders:  All outgoing officers shall pass their informational binder to the newly elected officers incoming to their position at the February meeting when their term ends (i.e. the outgoing President shall pass his/her binder to the incoming President, the outgoing Senior Class Vice-President shall pass his/her binder to the incoming Senior Class Vice-President, and so on).

Responsibility:  The terms of responsibility shall be as follows:

  • Officers possessing informational binders are responsible for the safe keeping of their binder.  
  • When an informational binder is lost or stolen it shall immediately be reported to all other officers and that officer shall be responsible for the replacement costs of the binder.
  • Officers will make or email copies of any informational documents required by a Patriot Quarterback Club Committee Head (i.e. the Shack, pre-game meal, field painting, etc.) for event planning.

 

Article XI

Fiscal Year

Fiscal Year:  The fiscal year of the Patriot Quarterback Club, Inc. shall be January 1st to December 31st.
